SELL-SIDE M&A

We evaluate and present our clients’ companies and assets to highly curated groups of potential financial and strategic buyers or merger partners, most of whom we know and have worked with before. We advise on valuation, strategy, timing, structure, pricing, and assist in negotiating and closing transactions. We advise on sales and auctions in both strategic and distressed situations. We may also advise on financial and strategic alternatives to a sale, such as recapitalizations and spin-offs.

BUY-SIDE M&A

When a client engages QLA to conduct a buy-side process, our first step is to understand what they hope to achieve with an acquisition and their investment criteria. We then do a market analysis to identify appropriate targets. Once a target is identified, we reach out in a personalized manner to determine their interest in a sale or merger. We conduct due diligence on the target, including a market valuation, perform financial analyses, and provide advice on structuring, financing, and other key terms of the deal. In most instances, we will also help to negotiate and close the transaction.
